These Terms govern access to Omnaris Fulfillment's websites, customer dashboard, APIs, communications, and related online services. Specialized warehouse, storage, fulfillment, transportation, and pricing agreements remain controlling for those services.
Agreement Structure and Service Contracts
These Terms incorporate the Privacy Policy, Cookie Policy, prohibited-items rules, billing and refund rules, data-retention policy, and any plan, order form, statement of work, warehouse and storage service agreement, or other written agreement that applies to an account.
A warehouse, storage, fulfillment, transportation, carrier, or other logistics service is not created merely by visiting the website or requesting a quote. Where a signed or electronically accepted service agreement conflicts with these Terms, the specialized agreement controls for its subject matter. These Terms continue to govern the online services unless that agreement expressly says otherwise.
Accounts and Security
Account information must be accurate and current. Each user must use their own credentials, protect passwords, devices, API keys, integration credentials, and verification links, and promptly report suspected unauthorized access. Account owners and administrators are responsible for invited users, assigned roles, connected stores, and instructions submitted through their account.
Omnaris may require email verification, reauthentication, multi-factor authentication, or other reasonable security steps. Activity performed through valid credentials may be treated as authorized until Omnaris receives and can act on a credible compromise report.
Customer Information and Instructions
Customers are responsible for the accuracy, legality, and completeness of product, inventory, recipient, customs, tax, carrier, billing, integration, and delivery information they submit. Customers must have the rights and notices needed to provide personal information, product content, and connected-store data to Omnaris for the requested services.
Omnaris may rely on authorized dashboard, API, integration, and support instructions. A correction or cancellation is effective only after the relevant service confirms it; a request may be too late once physical handling, carrier tender, payment processing, or another irreversible step has begun.
Fulfillment and Service Availability
Service availability depends on accepted products, warehouse capacity, received inventory, inventory condition and count, payment status, destination, carrier availability, integration health, and the applicable service agreement. Dashboard estimates, demonstrations, documentation, and marketing descriptions are not guaranteed service levels unless an applicable written agreement expressly makes them so.
Physical receiving counts, warehouse scans, exception review, packing completion, billing release, and carrier acceptance determine operational status. Customer-entered quantities and status labels do not by themselves prove that inventory was physically received or that a parcel was shipped or delivered.
Fees, Balances, and Payments
Customers must pay fees, taxes, carrier charges, adjustments, and other amounts described in the applicable plan, quote, invoice, order form, or service agreement. A Stripe payment may add an internal credit to the customer's Enigma-controlled balance, and service charges consume that balance. The dashboard is a view of the billing ledger; Enigma remains the authoritative billing record.
A balance is service credit, not a bank account, deposit account, or interest-bearing product. Payment processing, failures, disputes, refunds, negative balances, and billing corrections follow the applicable billing and refund policy and service agreement. Omnaris does not intentionally store complete payment-card numbers or card security codes entered through Stripe.
Acceptable Use
You may use the services only for lawful business purposes and in accordance with these Terms. You must not:
- submit prohibited, unsafe, counterfeit, stolen, unlawful, undeclared, or improperly documented goods
- misrepresent identity, authority, inventory, value, origin, classification, recipient, payment, or customs information
- gain or attempt unauthorized access to another account, tenant, system, warehouse record, device, or nonpublic information
- probe or bypass security, permissions, rate limits, verification, idempotency, anti-abuse, or payment controls
- introduce malicious code, scrape nonpublic information, overload services, or automate abusive requests
- share credentials or API keys outside authorized personnel or use an integration beyond its approved scope
- infringe another person's intellectual-property, privacy, publicity, contractual, or other rights
Integrations, Carriers, and Third Parties
Customers may authorize Omnaris to exchange information with Shopify, Stripe, carriers, email providers, and other services. Customers are responsible for their separate agreements with those providers and for maintaining authorized access. Omnaris is not responsible for a third party's independent systems, outages, changes, delays, acts, or policies.
Carrier rates, transit estimates, scans, delivery events, customs decisions, and claims are affected by carrier and government systems. An Omnaris display of third-party information does not make that information a guarantee.
Customer Content and Feedback
Customers retain their rights in product content, instructions, files, and other information they submit. They grant Omnaris and its service providers the limited rights needed to host, reproduce, transmit, adapt, and use that content to provide, secure, support, and document the requested services.
If you provide product feedback or suggestions, Omnaris may use them without restriction or compensation, provided it does not publicly identify confidential customer information as the source without permission.
Omnaris Property
The services, software, workflows, documentation, website design, branding, and original content are owned by or licensed to Omnaris and are protected by applicable law. Subject to these Terms, Omnaris grants authorized users a limited, revocable, nonexclusive, nontransferable right to use the online services for the customer's internal business operations.
You may not sell, sublicense, reverse engineer, copy, modify, or create derivative commercial services from nonpublic Omnaris software or content except where applicable law expressly permits and does not allow that restriction.
Suspension and Termination
Omnaris may limit or suspend access when reasonably necessary to address nonpayment, prohibited goods, suspected compromise, fraud, unlawful activity, material breach, danger to people or property, provider requirements, or risk to customers and systems. When practical and lawful, Omnaris will provide notice and an opportunity to resolve the issue.
Account closure does not automatically cancel active warehouse work, carrier movement, financial obligations, claims, legally required records, or the handling of remaining inventory. The applicable service agreement and account-closure process govern final inventory instructions, balances, data, and access.
Disclaimers
Except for express commitments in an applicable written agreement, online services and public information are provided on an as-available basis. To the extent permitted by law, Omnaris disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Omnaris does not promise uninterrupted, error-free, or completely secure operation.
Nothing in these Terms excludes a warranty or responsibility that applicable law does not allow the parties to exclude.
Limits of Liability
To the extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or data, arising only from use of the online services. Limits and claims involving inventory, fulfillment, storage, carriers, payments, or confidential information are governed by the applicable service agreement and mandatory law.
The parties do not intend these Terms to limit liability for fraud, willful misconduct, or another responsibility that applicable law cannot limit.
Changes, Notices, and Contact
Omnaris may update these Terms as services or requirements change. The page date identifies the current version. Material changes will be presented through an appropriate website, account, or email notice when required. Continued use after the effective date constitutes acceptance where permitted by law; if acceptance is required, Omnaris will request it.
